Fodavin Partner Program Terms
Version 2026-10-draft
1. Who we are and this agreement
The Fodavin Partner Program (the "Program") is run by Fodavin Technologies [LEGAL REVIEW: legal form of the business (proprietorship, partnership, LLP or company) and owner/registration details], of Sree Saraswathi Thyagaraja College (STC), Palani Road, Thippampatti, Pollachi, Coimbatore District, Tamil Nadu 642110, India [LEGAL REVIEW: GSTIN] ("Fodavin", "we", "us").
These terms are an agreement between you (the "Partner") and Fodavin. You accept them by ticking the box and creating a partner account; that electronic acceptance forms a binding contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000. We record the version you accepted and when. Please read them together with the Partner Program Privacy Policy.
2. Who can join
- You must be at least 18 years old, of sound mind and not disqualified by law from contracting (Indian Contract Act, 1872, section 11). A business may join through an authorised individual, who confirms they have authority to bind it.
- You must give true, complete details when you register and keep them up to date, including the name on your payout account.
- Fodavin reviews every application and may approve or decline it at its discretion, without having to give reasons.
- Fodavin employees, and people currently working on a Fodavin project, may join only with Fodavin's written approval.
- You join as an independent referrer. Nothing in these terms makes you an employee, agent, partner (in the legal sense), franchisee or representative of Fodavin. You may not make promises, quote prices, sign anything or collect money on Fodavin's behalf.
- One account per person. Accounts may not be transferred, sold or shared.
3. How referrals are credited
- Each partner gets a unique referral code and link. A referral is credited to you when the customer reaches Fodavin through your link (or gives your code) and submits an enquiry through fodavin.in or your referral page.
- A visit through your link stays creditable for 60 days. Enquiries made after that period are not credited.
- If a customer used more than one partner's link, the most recent valid visit before the enquiry is normally credited. Where claims conflict, or a referral is flagged by our checks, Fodavin reviews it and decides who (if anyone) is credited. We record the reason for every decision and you may ask us to explain it.
- Credit depends on cookies and similar browser storage. Fodavin is not responsible for referrals that cannot be tracked, for example because the customer blocked or cleared cookies, used another device, or contacted Fodavin directly without mentioning you. If you believe a referral of yours was missed, tell us within 30 days of the customer's enquiry and we will look into it.
4. When a commission is earned
A commission is earned only when all of these are true:
- the referral is credited to you under section 3 and is not a duplicate, a conflict decided against you, or otherwise ineligible under section 7;
- the customer buys a service that is eligible for commission (the eligible services are listed on the Program page and in your dashboard); and
- Fodavin has received the full eligible payment for the project and the project has been completed.
Every commission is then reviewed and approved by Fodavin before it can be paid. Enquiries, meetings, quotations and proposals do not earn a commission on their own. Fodavin decides independently whether to accept any customer or project; you are not owed a commission for work Fodavin declines or does not complete.
5. How much you earn
- The standard commission is 10% of the eligible project value.
- The eligible project value is the amount Fodavin actually receives from the customer for the referred project, excluding GST and other taxes, government fees, amounts passed through to third parties (such as domain, hosting, software licences, stock assets or advertising spend), and any refunds or discounts given.
- The rate that applies is the one in force when the commission is created. Later rate changes do not alter a commission already created.
- Unless Fodavin agrees otherwise in writing, commission is payable on the first project for a referred customer only, not on later renewals, annual maintenance contracts or additional work.
- Your dashboard shows each commission and how it was calculated. If you think a calculation is wrong, tell us within 60 days of the commission appearing and we will review it.
6. Payouts
- You can request a payout once your approved, unpaid commission is at least ₹1,000. Each request pays out your whole available balance.
- Payouts are made by UPI or bank transfer (NEFT/IMPS) to an account held in your own name. We may verify the account (for example with a small test transfer or by asking for proof) before paying, and we do not pay to third-party accounts.
- Fodavin aims to pay approved requests within 7 working days of approval [LEGAL REVIEW: confirm the payout timeline]. You will see the status and the bank or UPI transaction reference in your dashboard.
- Fodavin may hold or decline a payout while it investigates a suspected breach of section 9, or if a commission in the request has changed (for example after a refund). Amounts that are not owed are released back to your balance or reversed under section 8.
7. Duplicates, existing customers and self-referrals
- No commission is payable for a customer who was already a Fodavin customer, or had already contacted or been in discussion with Fodavin, before your referral.
- The same customer (same email address or phone number) referred again within 180 days is treated as a duplicate and earns no further commission.
- You may not refer yourself, a business you own or control, or an account you manage. Referrals of your relatives are allowed only if you tell us about the relationship when we ask; undisclosed related-party referrals may be rejected.
- Only one commission is paid per customer project, even if several partners referred the same customer.
8. Cancellations, refunds and recovery
- If a project is cancelled before the commission is earned, no commission is payable.
- If Fodavin refunds all or part of the customer's payment, the commission is reduced in proportion. If the commission was already approved but not paid, it is reduced or reversed. If it was already paid, the excess is recovered by deducting it from your future commissions.
- If an amount was paid to you by mistake, or in connection with a breach of section 9, you agree to repay it within 30 days of our written request, and we may also deduct it from future commissions.
9. Promoting Fodavin fairly
- Disclose that you earn a commission. When you recommend Fodavin in public posts, videos, reviews or messages to people you don't know personally, clearly say that you are a Fodavin partner and may earn a commission (for example "#FodavinPartner" or "I earn a referral fee"), as required by the Central Consumer Protection Authority's endorsement guidelines and the ASCI Code.
- Be accurate. Do not make claims about prices, discounts, timelines, guarantees, rankings or results that Fodavin has not published, and do not post fake reviews or testimonials.
- No spam. Do not send unsolicited bulk SMS, WhatsApp messages, calls or emails. Commercial calls and SMS must follow the Telecom Commercial Communications Customer Preference Regulations, 2018 (TRAI), including the Do-Not-Disturb registry.
- Respect Fodavin's name. Do not bid on "Fodavin" or confusingly similar keywords in paid search, register domains or social handles containing "Fodavin", pretend to be Fodavin, or use Fodavin's logo except as we provide it for the Program.
- No fake or incentivised enquiries. Do not submit enquiries for people without their consent, or pay or reward people just to enquire.
- Consent. Share someone's contact details with Fodavin only if they have agreed to be contacted by Fodavin.
If you break these rules, Fodavin may reject the affected referrals, withhold or reverse related commissions, recover amounts already paid (section 8) and suspend or close your account.
10. Tax
- TDS. Commission paid to you is income in your hands. Fodavin will deduct tax at source (TDS) where the Income-tax law requires it, at the applicable rate and above the applicable threshold, and will deposit it with the Government and issue the TDS certificate you need to claim credit. [LEGAL REVIEW: CA to confirm the provision, rate and threshold that apply to Fodavin]
- PAN. We will ask for your PAN before paying commissions that are subject to TDS. Without a valid PAN, the law may require tax to be deducted at a higher rate. We keep your PAN confidential and use it only for tax compliance.
- GST. Commission amounts shown in the Program exclude GST. If you are registered under GST, give us your GSTIN and a valid tax invoice for each payout [LEGAL REVIEW: CA to confirm how GST on partner commission is invoiced and paid]. Partners who are not registered are not required to charge GST by these terms; whether you must register depends on your own circumstances.
- You are responsible for declaring your commission income and paying any tax due on it. Fodavin does not give tax advice.
11. Confidentiality and customer data
- Customer contact details and project information are Fodavin's confidential information and are handled under our privacy policy. Your dashboard shows the progress of your referrals (with a shortened customer name), never their contact details or requirements.
- Keep confidential any non-public information Fodavin shares with you about the Program, its customers or its pricing, during and after your participation.
- Keep your login details secret. You are responsible for activity on your account unless you tell us promptly that it was misused.
12. Changes, suspension and closing an account
- Fodavin may change these terms, the commission rates, the eligible services or the Program, or end the Program, by posting the change here and emailing you at least 15 days before it takes effect (immediately where the law or a security issue requires). Changes never reduce a commission that has already been approved. If you don't agree with a change, you can close your account before it takes effect.
- You can close your account at any time by writing to enquiry@fodavin.in. Before closing, request a payout of your available balance. Referrals made before closure still earn commission under these terms, and we will tell you how any commission approved after closure will be paid. [LEGAL REVIEW: how balances below the minimum payout are settled on closure]
- Fodavin may suspend your account while it investigates a suspected breach, and may close it for a material breach (including fraud or a breach of section 9) after telling you why and giving you 7 days to respond, or without notice where the breach is serious or unlawful. Commissions connected with the breach are not payable. Approved commissions that are not connected with the breach will still be settled, and we will tell you how.
13. Liability
- The Program and the partner platform are provided "as is". We take reasonable care to keep them running and accurate, but we don't guarantee that they will be uninterrupted or error-free, or that any referral will become a customer.
- To the extent the law allows, Fodavin is not liable for indirect or consequential loss, or loss of profit, business or opportunity, and Fodavin's total liability to you under these terms is limited to the commissions paid or payable to you in the 12 months before the claim arose.
- Nothing in these terms limits liability for fraud, or any liability that cannot be limited under Indian law.
- You agree to compensate Fodavin for losses, claims and penalties caused by your breach of these terms or of the law, including spam, misleading promotion or misuse of personal data.
14. Governing law and disputes
- These terms are governed by the laws of India.
- If a dispute arises, first write to us at enquiry@fodavin.in. We will try to resolve it in good faith within 30 days.
- Disputes that are not resolved will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The arbitrator is appointed by mutual agreement, or failing agreement, under section 11 of that Act. The seat and venue of arbitration is Coimbatore, Tamil Nadu, and the proceedings are in English. The parties may agree to hold hearings online.
- Subject to this, the courts at Coimbatore, Tamil Nadu have exclusive jurisdiction, including for interim relief.
15. General
- These terms and the privacy policy are the whole agreement about the Program and replace anything said before. If any part is found invalid, the rest continues to apply. Not enforcing a right straight away does not waive it.
- Neither of us is responsible for delays caused by events beyond reasonable control, such as natural disasters, pandemics, government action, or failures of banks, payment networks or internet providers.
- You may not assign or transfer your rights under these terms. Fodavin may transfer the Program to a successor business on notice to you.
- We send notices to the email address on your account; you send notices to enquiry@fodavin.in. These terms are written in English; if we provide a translation, the English version prevails.
